  1. Call to Order
    1. Manoucher Nayeri, called to order the regular meeting of the Carriage Lawn at Barkley at 7:08pm on Thursday, February 22, 2007
    2. Location: Fairhill Elementary School library, Chichester Ln, Fairfax, VA 

 

  1. Roll Call
    1. The following persons were present:

Manoucher Nayeri                                Sanjay Vakharia

Carol Mallory                                       Ray Worley                 

Reinaldo Salva (Koger Management)

    1. List of resident attendees is available with Koger Management

 

  1. President Overview
    1. Mr. Nayeri provided an overview of the following

                                                               i.      Repairs and improvements performed by Centex as part of Bond release process.

                                                             ii.      Renegotiation of the garbage disposal contract

    1. Mr Nayeri and Mr Vakharia also informed residents of the allegations of accounting irregularities made against Koger Management. The following was discussed

                                                               i.      Letter from Attorney advising BOD of allegations of accounting irregularities at Koger Management

                                                             ii.      BOD actions to asses HOA financial condition

                                                            iii.      Status of 2004 and 2005 audits of HOA financials

                                                           iv.      Need to engage new auditors for 2006

                                                             v.      Lack of clarity from Koger on $4,565 of prepaid expenses and BOD recommendation to get assistance from auditors to proved the necessary visibility.

 

  1. Financial Review  
    1. Ms. Mallory provided a financial overview of the HOA financials and introduced the Budget for 2007 (Exhibit 1)

 

  1. Thank You
    1. Mr. Vakharia thanked retiring and resigning BOD members for their contribution to community and HOA
    2. Each retiring / reigning BOD members expressed their pleasure to have an opportunity to sever the HOA and urged residents to take an active role in community management
    3. Ms. Mallory offered to chair the ARB committee. Her offer was accepted by board

 

  1. Adjournment
    1. Manoucher Nayeri adjourned the meeting at 7:40pm, Sanjay second and Carol approved.

 

  1. Election of New BOD members
    1. Election was held and votes were counted
    2. 4 BOD members were elected by acclimation

                                                               i.      Marshall Manson replaced Mr. Ray Worley

                                                             ii.      Grace Marabe

                                                            iii.      Michael Noonan

                                                           iv.      Cyrus Salazar
